Terms and Conditions for Access to PSW Systems
1. This website and any systems ancillary hereto are the property of Pakistan Single Window (PSW), a company incorporated under the Companies Act, 2017 and wholly owned by the Government of Pakistan.
2. Reference to male gender also includes reference to female or any other gender and singular includes the plural; and vice versa.
1. Definitions and Scope
1.1. The “PSW Systems” refers to the websites, applications, or any other PSW interfaces that serve as the main entry point for subscribers to get access to information and transact import, export, or transit trade-related regulatory compliance on the PSW hereafter mentioned as “PSW Systems”.
1.2. “Subscriber” refers to a person who based on the law, rules or regulations has access to the “PSW Systems” as mentioned above, during the validity of his unique subscriber identifier; hereafter mentioned as Subscriber.
1.3. The aim of the “PSW systems” is to provide a single electronic platform for facilitating compliance with the regulatory regime for cross-border trade in Pakistan in accordance with the relevant laws, rules, and regulations.
1.4 “Password(s)” refers to the confidential password(s) and includes barcodes, QR codes, one-time passwords, PIN codes,s and any other manner of digital authentication.
2. Acceptance
2.1 By Accepting these Terms and Conditions the subscriber agrees to be bound by them without limitation or qualification.
2.2 PSW may update, modify, enhance or otherwise replace the PSW Systems and this agreement shall mutatis mutandis apply to any successor or new systems.
3. Grant and Right of Access
3.1. Within the legal framework, PSW agrees to grant to the Subscriber a non-exclusive, non-transferable right to use the “PSW systems” as long as the Subscriber has a valid unique subscriber identifier, he continues to abide by provisions of the law, rules or regulations, etc.
3.2. The Subscriber is entitled to have the right and privilege to use the “PSW Systems” as it is provided digitally solely for the purposes described under 1.3
3.3. The subscriber’s right to use the PSW will automatically cease in the event of a material breach by the Subscriber of any of its obligations under these Terms and Conditions or of the law, rules and regulations, etc; or deactivation of the unique subscriber identifier.
3.4. The Subscriber shall not assign, sub-let, or otherwise transfer any rights or obligations in these Terms and Conditions to any other person.
4. No warranty
4.1. PSW will endeavor to publish accurate information on the “PSW Systems” to provide a legally accurate and precise system and ensure that the services do not have errors or omissions. However, the information published on the “PSW systems” is provided “as is” and without warranties of any kind, either expressed or implied.
4.2. PSW will try to provide updated and correct information for regulatory compliance to the subscribers and maintain a reasonable disaster recovery system, however, PSW will not be liable for any direct or indirect, special or consequential damages to the Subscribers or anyone else for any regulatory compliance failure in the PSW Systems.
5. Obligations of the Subscriber
5.1. The “Subscriber is fully responsible for all activities that occur in the “PSW System” under the password(s) provided to it by PSW. The “Subscriber will ensure that such password(s) are kept confidential, treated in a secured manner, and will immediately notify PSW System of any breach of security with respect to such password(s) or to the use of the “PSW System”. The “Subscriber is responsible for ensuring that all persons who access the “PSW System” by internet connection and/or using the password(s) are aware of these terms and conditions of use and that they comply with them. The Subscriber shall not allow any third party to access PSW systems utilizing his password. The subscriber shall also ensure that correct information is provided at the time of subscription. Any false, misleading, incorrect, or fraudulent information provided by the Subscriber will lead to suitable legal action.
5.2. The Subscriber agrees to use the “PSW System” only in a lawful manner and further agrees not to cause, or knowingly allow others to cause, any nuisance, annoyance, or inconvenience whether to PSW System or to any of its customers or Subscribers of the “PSW System” by any means, including without limitation by a denial of service attack, knowingly introducing viruses, Trojans, logic bombs or other malicious or harmful material.
5.3. The “Subscriber agrees not to use the “PSW System” to transmit or post any material which is fraudulent, hateful, sexually, racially, ethnically, religiously or otherwise objectionable, defamatory, offensive or obscene or menacing or anti-state.
5.4. The “Subscriber ensures to use of up-to-date virus-checking software to prevent the introduction of viruses and other harmful code onto the “PSW System”.
6. Obligations of PSW System
6.1. PSW System shall provide the Subscriber with a unique subscriber identifier and a password to use the “PSW System”.
6.2. PSW System takes all reasonable steps to safeguard the security of any information input by the Subscriber or information used by the Subscriber in connection with the “PSW System”.
6.3. PSW System shall use its reasonable endeavors to make the “PSW System” available for the “Subscriber” round the clock for the entire period of subscription. Though PSW System gives no guarantee of such availability, however, all reasonable efforts will be made to restore services in the shortest time possible in case of any disruption or non-availability of services.
6.4. Notwithstanding the provisions of clause 6.3 above, the PSW may suspend the “PSW System” at any time without liability to the Subscriber, however, such suspension will be justified by objective reasons such as maintenance.
7. Intellectual Property Rights
The Subscriber acknowledges having no rights, whatsoever, with respect to any and all intellectual property rights used or embodied in or in connection with the “PSW System” . PSW reserves all rights related to the “PSW System”. Nothing in these Terms and Conditions grants the “Subscriber a right or license to use any trademark, design right or copyright owned or controlled by PSW or any other third party except as expressly provided in these terms.
8. Liability
8.1. PSW shall in no event be liable to the Subscriber for any direct or indirect, special or consequential damages, including but not limited to damages resulting from loss of profits or data arising out of the use or inability to use the “PSW System”, the misuse of the password or of any other identification data.
8.2. The Subscriber acknowledges that the “PSW System” is provided via the internet and that PSW has no control over and/or the security of the internet. PSW endeavors to ensure that the services are free from bugs and secure, but PSW does not assume any liability for timely, trouble-free, and uninterrupted access to the internet.
8.3. While PSW has used its discretion, best judgment, and all reasonable efforts in maintaining a virus-free website, it declines any liability for persons, property damage, or especially direct, indirect, immediate, or subsequent pecuniary loss which may result from transmission or downloading of computer viruses. PSW cannot be held liable for hardware damage, loss of data, alteration of data, or downtime.
9. Data Protection/Confidentiality
9.1. Subscribers shall use the “PSW System” in Compliance with the applicable legal provisions related to confidentiality and data protection and the applicable data protection laws.
9.2. The “Subscriber undertakes to treat as confidential all information on the “PSW System”, the processes used, and all related documentation, and to take all necessary actions to ensure that this confidentiality is ensured towards third parties. Moreover, the Subscriber shall oblige his employees or third parties who are required to have access to such information to the same confidentiality obligation and to the observance of applicable data protection obligations. The Subscriber shall moreover ensure that such obligations shall continue to apply after the termination of their working relationship.
9.3. The Subscriber shall not sell, rent or alter any information/data retrieved from the PSW System, whereas transfer, distribution, disclosure, and copying is solely admitted for internal use by the Subscriber.
9.4. The Subscriber shall implement appropriate measures that information/data retrieved from the “PSW System” is protected against accidental or unlawful destruction or accidental loss, alteration, unauthorized disclosure, or access in particular where the processing involves the transmission of data over a network, and against all other unlawful forms of processing.
10. General
10.1. Acceptance
“Acceptance” subscriber’s acceptance of the PSW System Terms and Conditions by his click-through of the acceptance screen.
10.2. Severability Clause
If any article, section, or provision of these Conditions is found to be invalid, the remainder of them shall continue in full force and effect. Any Conditions which are null or void are in this case to be understood such that their intended purpose is still fulfilled as far as possible.
10.3. Law and Jurisdiction
These terms shall be construed, enforced, and performed in accordance with the substantive laws as agreed in the contract, without reference to principles of conflicts of laws. The jurisdiction is situated as agreed in the contract.
10.4 Other Provisions
Any liability arising and not covered under these terms and conditions shall be dealt with as law for the time being enforce, rules, regulations orders, etc.
